Not every opportunity reviewed will result in a transaction, and we do not represent that we will pursue any particular opportunity submitted to us.
We receive opportunities through direct outreach, professional referrals and our online submission process. Initial contact establishes the basic nature of the opportunity and whether it falls within our general area of focus.
We conduct a preliminary review of the information provided to assess whether the opportunity appears relevant to our investment focus. This initial screen is not a comprehensive evaluation — it is a preliminary determination of relevance.
For opportunities that pass initial screening, we may request additional information. This could include financial statements, operational details, market information, asset descriptions and other relevant materials.
We conduct a more detailed review of the available financial and operational information. This involves examining revenue, expenses, cash flow, assets, liabilities, operational performance and other relevant financial characteristics.
We assess the market context in which the business or asset operates. This includes understanding competitive dynamics, market trends, customer characteristics, supplier relationships and other environmental factors.
We identify and assess the key risks associated with the opportunity. Understanding what could go wrong is as important as understanding what could go right. We consider operational, financial, market, legal and other relevant risk factors.
Where an opportunity remains attractive after evaluation, we may develop a proposed transaction structure. This involves considering how a transaction would be organized, financed, documented and completed.
Prior to completing any transaction, appropriate due diligence is conducted. This may involve professional advisors including legal counsel, accountants, financial advisors and other specialists as appropriate.
Following satisfactory due diligence, we make a final determination regarding the transaction. If we proceed, we focus on efficient execution, clear documentation and professional communication throughout the closing process.
